  1. Introduction

The following Terms and Conditions ("Terms”) govern all use of the website located at https://natvps.uk and any content therein and all services made available therein (“Services”) by NATVPS UK LTD having its principal place of business at 19 The Ropery, Newcastle upon tyne, England. ("we" or "our'' or "us"). These Terms apply to anyone using or accessing our website or Services. The terms “you” or “your” as used herein denote the user and/or the customer of the Services.

By using our website and/or Services (including placing an order utilizing electronic ordering), you agree to abide by the Terms. If you do not agree with the Terms, please do not access, or use our website or Services. If you are agreeing to the Terms on behalf of an entity, you represent that you have authority to act on behalf of that entity. If you are under the age of 18, you may only use the website and Services under the supervision, guidance, and consent of your parent or guardian, in which case the parent or guardian shall be deemed to be the user and shall be responsible for any of your activities.

  1. Use of website and Services

  1. The website and the Services are protected by copyright and other intellectual property and proprietary rights laws as applicable throughout the world. Subject to the Terms, we grant you a personal, limited, non-exclusive, non-transferable, non-sublicensable license to use the website and Services as per the terms stated herein.

  1. For the avoidance of doubt, the Services are for your personal use and not for reselling or offering to others unless specifically stated in the product name, description or contract.

  1. Restrictions and Acceptable Use

The rights granted to you for use of the website and Services are subject to the following restrictions:

  1. You shall not copy, decompile, reverse engineer, disassemble, modify, prepare derivative works, distribute, transfer, or otherwise exploit the website or Services.

  1. You shall not remove any copyright, trademark registration, or other proprietary notices from the website.

  1. You will not infringe or use any of our content, material, brands, logos, trademarks, or other proprietary marks for your personal use.

  1. You will not use the website or Services in any way which is harmful to our interests.

  1. You will not interfere with or disrupt the access or use of website or Services by other users. This includes without limitation making “denial of service” (DOS) attacks against another network host or individual user, accessing accounts of others, penetrating security measures, or hosting of unauthorized SHELL programs on our network.

  1. You will not transmit or introduce any kind of virus or any malware or harmful codes using any of our services.

  1. You will not use the website or Services in any way not permitted or authorized by the Terms.

  1. You will not impersonate or misrepresent yourself while using the website or Services. For the avoidance of doubt, you will not add, remove, or modify identifying network header information to deceive or misinform others.

  1. You will not use the website or Services to violate any applicable laws or rights including the privacy rights or intellectual property rights of others. For the avoidance of doubt, a) transmitting or distributing any material by any means that infringes any intellectual property rights of any third party is strictly prohibited b) using the Services to collect, or attempt to collect, personal information about third parties without their knowledge or consent is strictly prohibited.

  1. You will not host any content that is immoral, illegal, obscene, vulgar, defamatory, harassing, demeaning, anti-discriminatory, or racist via any of our servers. You will not introduce or transmit pirated software, hacker programs, port scanning, warez programs, or torrents.

  1. You will not use the Services to harm, or attempt to harm minors, or children in any manner, including, without limitation indulging in child pornography.

  1. You will not use the Services to threaten or encourage bodily harm or destruction of property.

  1. You will not use the website or Services to cause nuisance, annoyance, harm, or inconvenience to anyone.

  1. You will not attempt to gain unauthorized access to any part of our website, systems, or Services.

  1. You will not engage in any kind of spamming activities including using other resources with links directed back to our website, transmitting any unsolicited commercial or unsolicited bulk e-mail. You will be liable to pay  £100 if we receive a complaint regarding you for spamming and we found you to be in violation.

  1. You will not make any excessive use or abuse of our resources (including excessive CPU use or continued high disk IO R+W requests, averaging over 50% of a CPU core/thread for more than 24 hours, or averaging 100% of a core/thread for more than 1 hour).

  1. You will not exceed the predetermined amount of traffic allowance allotted to you.

  1. You will not install, use, or facilitate the use of any open proxy (includes activities that give other users access to the services in a manner that disguises their origin IP address without any auditing or logging).

  1. You will not engage in any cryptocurrency mining.

  1. You shall not use crypto-related activity using more than 30% of a single core for over 120 minutes in any 24 hours (includes without limitation using Services as a wallet or synchronizing a blockchain).

  1. You shall respect the bandwidth limit for audio/video streaming prescribed by us from time to time.

  1. You shall not use IRC servers, clients, or other IRC-related services on any VPS server located in any of our location unless over IPv6.

  1. You shall not run automated game bots using more than 20% of a single core for more than 15 minutes at a time (includes re-spawned processes).

  1. You shall not use or allow unattended click or hit schemes to run.

Engaging in any of the restricted activities above will lead to your suspension and/or immediate termination of the account without any notification and any liability on our part and you will have to pay a cancellation fee of  £20. In addition, we will notify appropriate legal authorities of your acts and/or may take any necessary legal action against you.

  1. Acceptable User Conduct and Responsibilities

  1. You are solely responsible and liable for the content including without limitation your messages, postings that you make available on the website and through the Services. You shall not upload or disseminate any of your content on the website or through the Services which is infringing on any third-party intellectual property rights, violating the Terms or applicable laws, unethical, illegal, unlawful, obscene, pornographic, immoral, hateful, defamatory, violative of privacy laws or privacy rights of any third party or is false, fraudulent, misrepresenting, misleading, or deceptive. We reserve the right to monitor your use of the website and Services and have the right in our sole discretion to modify or remove any of your content that violates any applicable laws or rights or others or the Terms.

  1. We do not tolerate any kind of abuse towards our employees, agents, service provider, or support team. You shall treat all such contacts with respect and behave with them politely and professionally.

  1. You shall always use strong passwords for any services running on standard ports. If your server is compromised because of a weak password, your Services will be suspended without any notice. For a password to be considered acceptable and strong, it must contain at least 1 x special character 1 x Upper case letter 1 x lower case letter 1 number.

  1. You shall strictly observe the restrictions specified in these Terms.

  1. You shall fully cooperate with us in any corrective or preventive action that we may take at any point in time. Failure to cooperate with us is a violation of our acceptable use policy.

  1. Any decision related to the termination of your account is at our discretion and final.

  1. You should not use the website or Services to promote your services or the services of any entity with which you are associated.

  1. If you believe that someone is violating or has violated any of the Terms or acceptable usage policy stated herein or believe there is an abuse, you should immediately notify us at abuse@natvps.uk. You are also requested to provide the IP address used to commit the violation, the date and time of the violation, and evidence of the violation, which details will help us to investigate and/or remediate the abuse.

  1. We charge a £100 site clean-up fee for any abuse of the Terms stated herein. In addition, we will also charge £25 PER HOUR for all time and resources utilized to track and trace the abuse.

Engaging in any conduct which constitutes unacceptable use of the website and/or Services will lead to your suspension and/or immediate termination of the account without any notification and any liability on our part and you will have to pay a cancellation fee of  £20. In addition, we will notify appropriate legal authorities of your acts and/or may take any necessary legal action against you.

  1. Services

  1. We will make commercially reasonable efforts for providing Services. However, nothing herein should be construed as providing any Services to teach or guide you to utilize such services. Our responsibility is only to provide the Services as stated on our website and we are not responsible for testing each piece of software.

  1. We provide VPS and Hosting services as specified on our website. All security updates, patches, kernel upgrades, and system administration are included in your Services fees. In addition, we may provide recommendations to improve the overall performance, security, and updates to the service.

  1. At our sole discretion, you may be billed on prior notification for any installation, configuration, or tuning of the server services and any other additional charges.

  1. We reserve the right to perform maintenance, security checks, or management without you making any such requests.

  1. We will refund you 200% of the value of the time of service (up to 100% of your monthly fee) for Network Outages (meaning you will be eligible for a refund of the entire fees for the period your website and/or email remains unavailable for more than 24 hours constantly). Network Outages or Unscheduled Maintenance and any unplanned or unscheduled interruption period (in which 100% packet loss to our network is experienced and caused by a problem within our network as confirmed by our team) during which you will be unable to access the Services. For refund purposes, the Network Outages will be measured from the time the Services are 100% not available, until the time the Services are once again restored. For you to obtain a refund, you must email us within 10 days of such reported Network Outages that you have experienced. We will review your requests during UK business hours Monday to Friday 9 AM to 5 PM GMT (excluding any bank holidays in London).

  1. Notwithstanding the foregoing, you will not be eligible for a refund if the unavailability as specified in the foregoing is due to factors such as:

  1. Scheduled Downtime- Scheduled Downtime is any scheduled interruption of Services (with prior reasonable notice to you via email or forum post), for maintenance, network upgrades, or replacement of any equipment to provide you improvised service.
  2. Problems outside of our reasonable control including without limitation acts or omissions of upstream providers, your inbound connection.
  3. Interruptions or failure of Services or any component of Services due to your (including your agents, customers, representatives, employees) errors or negligence that includes without limitation inaccurate configuration, inaccurate specifications, 3rd party software, abuse, breach of this Terms, overutilization of resources, hacked servers, or virus attacks.
  4. Server hardware failures.
  5. Force Majeure events meaning any acts of Gods, earthquakes, storms, floods, lockdown, epidemic, terrorist acts, civil war, hostilities, acts or omission of users or service providers, change in laws or any acts beyond our reasonable control.

  1. Hardware Failures: We will replace the hardware meaning returning the server to the original configuration state as at the date when it was purchased. If hardware failure causes a corrupted operating system, data files, or configuration of the server, we will make commercially reasonable efforts to restore the system to its original state. In case replacement is not possible, we will refund 5% of the monthly fee per additional 6 hours of downtime (up to a maximum of 100% of your monthly fee). Any such replacement is subject to the availability of replacement hardware with us and the timeline provided above may be exceeded in cases of non-availability of requisite hardware with us. For the avoidance of doubt, we are not responsible for the restoration of data to the server. You are advised to purchase suitable backup options for your server and keep copies of your data off-site. You are solely responsible for data restoration. For you to obtain a refund, you must email us within 10 days of such reported hardware failures that you have experienced. We will review your requests during UK business hours Monday to Friday 9 AM to 5 PM GMT (excluding any bank holidays in London).

  1. Notwithstanding the foregoing, you will not be eligible for a refund if the hardware failure is due to factors such as:
  1. Network Outages
  2. Interruptions or failure of Services or any component of Services due to your (including your agents, customers, representatives, employees) errors or negligence that includes without limitation inaccurate configuration, inaccurate specifications, 3rd party software, abuse, breach of this Terms, overutilization of resources, hacked servers, or virus attacks
  3. Force Majeure events meaning any acts of Gods, earthquakes, storms, floods, lockdown, epidemic, terrorist acts, war, hostilities, or any acts beyond our reasonable control.

  1. If the server is compromised and a NEW OS and/or Interworx panel re-install must be performed for security reasons or due to any factors cited in the foregoing Section, you will be liable to pay a £45 fee to restore the system.

  1. We are not responsible for data loss or backups, please backup your servers, websites and services regularly. We can provide external backup space for £0.10 per gigabyte upto 100% of your services disk space + 20GB. This is billed monthly.
  1. Account

  1. You will have to provide us with certain details such as name, email, host name as needed when placing the order for the Services.

  1. You will provide us with your accurate, complete, and true details (and promptly update the same as needed) and notify us in writing of any changes thereto. We will not be liable to you for any loss or damage that occurred to you due to inaccurate, incomplete, or false details provided by you.

  1. You will be responsible for maintaining the confidentiality and security of your account. You are responsible for taking the necessary steps to ensure that others do not gain unauthorized access to your account. We will not be liable for any damages, losses, claims, or expenses relating to or arising from unauthorized access to or use of your account due to your negligence.

  1. We in our sole discretion may refuse to accept your account, reject your registration, and/or suspend or deactivate your account at any time.
  1. Fees and Pricing

  1. We charge monthly, quarterly or annually in advance as per the plan opted by you. All our plans are stated on our website.

  1. Our provision of Services to you is dependent on receipt of all applicable fees from you. For the avoidance of doubt, if you avail of our Services today, you will be billed today. If for any reason you fail to make the payment (including for any billing transaction issues), we reserve the right to suspend the Services until the payment delinquency is cleared by you.

  1. All subsequent payments are due on the anniversary date of the month, quarter or year as applicable.

  1. You will be charged applicable setup fees at the stage of the initial request of Services.

  1. Any support not included with your dedicated server will be subject to a £75 hourly labor fee. This fee will be billed in ½ hour increments during office hours between 9:00 am – 5:00 pm M-F (GMT).

  1. We accept payments through MasterCard, Visa, Discover, and PayPal. We may charge your credit/debit card (if you have provided any) or deliver, by e-mail an invoice for applicable Service fees. All credit/debit cards will charged automatically on a monthly, quarterly or yearly basis as per the plan opted by you.

  1. In case of insufficient credit in your account, we will send an e-mail notification, and you will have to provide another credit/debit card account number within 24 hours failing which your account may be suspended.

  1. We do not accept cheques, wire transfers, bank transfers, demand drafts, or postal orders.

  1. You will pay us any additional fees if your actual bandwidth usage in any month, quarter or year exceeds the allotted amount.

  1. You will have a total of 5 days as a grace period within which you need to pay any fees due to us. In case you fail to pay the fees within the timeline prescribed in the foregoing, we reserve the right to terminate and/or deactivate your account. In addition, in case of termination, we will delete all your associated information or data with us.

  1. In addition, for all past due payments, you will be subject to a 25% late fee. We further reserve the right to pursue all collection remedies available including transferring your account to a debt collection agency and you will be liable to pay us all charges incurred by us in such collection procedures. If we pass your account for collection, you will be liable to pay us a "Processing and Collection" Fee in the range of £50 to £150. We may claim a lien on any of your property in our possession if you are delinquent in payment.

  1. We may temporarily deny Services or deactivate your account or terminate these Terms on your failure to pay fees when due. Such termination or deactivation will not relieve you of your responsibility for the payment of all accrued service fees, or any collection fees, or any other future fees on the restoration of Services.

  1. All payments made by you are non-refundable except as specified herein. If you are eligible for any refunds, we will reasonably endeavor to issue you the refunds promptly.

  1. We offer a 14-day (48 hours from the order time in case of promotional sales)  Money back guarantee on all services when you pay full price for the Services. You will not be eligible for refunds on any BLACK FRIDAY OR CYBER MONDAY SALES.

  1. To qualify for a refund, you MUST request a refund by contacting us at support@natvps.uk and all such refund requests shall be initiated before you initiate any cancellation request.

  1. Only the first service ordered will qualify for a refund. Orders of multiple products and or quantities are not eligible for refunds under any cases.

  1. All refunds are subject to a 10% or £1 administration fee whichever is greater.

  1. All refund is subject to you being in full compliance with the Terms including the acceptable usage terms stated herein.

  1. If you request a refund under the 14-day money-back guarantee you will be unable to avail of any further Services of any kind from us for 1 year and you will not qualify for any further refund thereafter.

  1. The refund policy is not open for any negotiation and is final.

  1. If you want to cancel the services you need to provide us with a 30 days’ notice. In such case, refunds will only be provided if there is a failure on our part to deliver the Services as demonstrated and evidenced by you to our reasonable satisfaction.

  1. For the avoidance of doubt, domain registration fees are not refundable.

  1. If you intend to cancel the Services, you should write to us at support@natvps.uk. We do not provide any prorated refunds. Therefore, you must ensure to make us known of your intention to cancel the Services within 30 days of billing.

  1. All billing disputes must be reported at support@natvps.uk within 30 days of the time the dispute occurred.

  1. The plans and pricing are subject to change and will be displayed on our website. You are suggested to check our website for the latest pricing.

  1. We reserve the right to impose reactivation fees (currently at GBP 20.00) for the recommencement of services.

  1. You will be responsible for any VAT or taxes as applicable on the pricing.

  1. We are not liable if your payment transaction cannot be completed due to any issues including technical issues or due to any limits imposed by applicable laws or applicable financial transaction processors.

  1. You authorize us and the applicable financial transactions processor to debit your bank account, card account for the fees, and any other charges as applicable from time to time. You agree that there may be any applicable terms and conditions of such a payment processor to which you will be bound and shall comply with the same.

  1. We may register or renew 3rd party services such as domain names and SSL certificates on behalf of you. If you observe or encounter any errors in registration or renewal, it is your responsibility to notify us within 14 days to enable us to correct any discrepancy manually. If a domain is not registered through non-payment, technical errors or communication errors, or any other errors beyond our control and you fail to notify us within the timeline above stated, the third-party services such as domain names and SSL certificates may enter into a redemption period or maybe lost perpetually.
  1. Ownership and Intellectual Property Rights

  1. Title, ownership rights, and intellectual property rights on the website and Services shall remain our sole property. The website, and all the content therein and all trademarks, service marks, graphics, logos, designs, elements used in connection with the same, or any other information, content, materials of any kind available on the website and Services or made available through the website are our trademarks or copyrights or other intellectual property rights and may not be used without our permission.

  1. Your use of the website or services does not grant you any right or license to download, reproduce, use for commercial purpose, or otherwise use any of the intellectual property rights of the same except as expressly stated herein.

  1. If you upload any content on the website such as your messages, images, it shall be owned by you. You grant us and our affiliates, service providers, agents, representatives, and their respective assigns, heirs, and successors, a worldwide, non-exclusive, fully paid-up, royalty-free, sub-licensable, transferable, perpetual right to use, copy, reproduce, modify, publish, transmit, disseminate, distribute, display, create derivative works from, and otherwise exploit such of your content as you may make available on the website and/or while utilizing the Services in any form or medium whatsoever for any purpose.
  1. Privacy Policy

  1. Our Privacy Policy, located on our website provides information about our collection, use, and disclosure practices related to your data. You are requested to read the same. The Privacy Policy is deemed incorporated into these Terms.
  1. Termination

  1. This Terms shall continue until either of us terminate it at any time.

  1. We may terminate this Terms for convenience (no reason) anytime immediately by providing your notice or as otherwise stated herein.

  1. If you terminate these Terms, you are for all outstanding fees owed to us. You will be responsible for payment of all fees for the entire month regardless of when you provide notice of termination. For instance, if you provide notice of termination on the 15th day of a particular month, you will be responsible for service fees for the entire month, and such fees will not be pro-rated or refunded.

  1. We may without prior notice discontinue your use of the website and Services and remove any of your content that you have made available, without notice, for reasons including but not limited to your breach of any provisions in the Terms, as required by law, or our decision to discontinue the website or Services (or any part thereof).

  1. We may from time to time suspend or terminate access to all or a part of any website, or any content therein or limit the availability and accessibility of the website or Services to you as per our discretion and without any reason.

  1. Other Terms

  1. We do not actively monitor the activity of our users under normal circumstances and we have no control over any content accessed through our website or Services except for our proprietary information. However, we reserve the right to delete any content (including deletion of a user account) that, in our sole discretion, we consider as objectionable or immoral or illegal or that subjects us to any kind of liability. We will not intentionally monitor private electronic mail messages sent or received by users, unless required to do so by law, governmental authority or when our interests are at stake.

  1. The access and use of websites and Services may be subject to limitations, delay, and other problems inherent in the use of the internet and electronic communications. We are not responsible for any such delays, delivery failures or other damages or losses, or claims resulting from such problems.

  1. We do not warrant that the website or Services will be error-free or virus-free or bug-free or uninterrupted or secure or timely or that all defects will be corrected, that the website or Services will meet your requirements or expectations, or that the website or Services will be adequate or appropriate for your purpose. Your reliance upon the website or the Services is solely at your own risk.

  1. We will use reasonable endeavors to make the Services available to you, We shall not be responsible nor liable to you for delay or failure in providing Services (and you will not receive a refund in such cases) where such delay or failure results from your acts or omission including without limitation your inability to access the services, technical problems from your side, or incorrect details or information provided by you. We do not take responsibility for the complete security of servers.

  1. THE WEBSITE AND SERVICES ARE PROVIDED ON AN "AS IS" BASIS AND "AS AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WE EXPRESSLY DISCLAIM ANY WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, QUIET ENJOYMENT OR NON-INFRINGEMENT, PERFORMANCE, OUTCOMES, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE. SOME JURISDICTIONS DO NOT ALLOW THE DISCLAIMER OF IMPLIED WARRANTIES, IN WHICH EVENT THAT THE FOREGOING LIMITATION MAY NOT APPLY TO YOU.

  1. We are not responsible for system downtime, crashes, or data loss. Certain of our equipment is owned by a third party providers and/or certain Services may be provided by third-party providers. We are not responsible if such service providers fail to provide the services.

  1. Indemnification and Liability

You agree to defend, indemnify, and hold us, our affiliates, officers, directors, employees, agents, representatives, licensors, and consultants, harmless from and against any claims, damages, costs, causes of actions, liabilities, including without limitation, reasonable attorney fees, resulting from or arising from your use of the website or Services including your content or your breach of any provision in the Terms, or your violation of any rights of any third party (including but not limited to intellectual property rights and privacy rights), or your violation of any applicable laws, or your misrepresentation or fraudulent, negligent acts or omissions or for any personal injury or death or property damage caused or contributed to by you in connection with the use of website or Services. This provision will survive termination of the Terms.

  1. In the event of your breach of the Terms, we will be irreparably harmed and may not have an adequate remedy in money or damages and shall be entitled to an injunction against such a breach from any court of competent jurisdiction. Notwithstanding the foregoing, we shall also have the right to obtain other applicable remedies available at law.

  1. To the fullest extent permitted by applicable law, we, our affiliates, officers, directors, employees, agents, representatives, service providers, licensors, and consultants, shall not be liable for any indirect, punitive, special, exemplary, incidental, consequential damages or damages for emotional distress or lost profits or lost business opportunities, reputation, loss of data or information or content arising out of or in connection with the website, or Services (including without limitation servers going off-line or being unavailable for any reason whatsoever or due to Services unavailability, corruption or deletion of any web site or data loss) even if advised of the possibility of such damages. In no event shall our aggregate liability for all claims related to the Terms exceed the total amount of fees received by us from you for the Services plan opted by you.

  1. Nothing in this Terms limits or excludes our liability for negligence triggering death or personal injury, liability for fraud or fraudulent misrepresentation, or for any matter that is not allowable by the applicable law to be excluded or limited.
  1. Third-Party Sites

  1. The website may contain links to third-party websites or resources which are not part of us.

  1. We do not:
  1. Control, review or monitor such sites
  2. Make any warranties or representations concerning such sites

  1. We shall not be responsible or liable for these websites including but not limited to their resources, content, availability of the content, information therein.

  1. You agree to use all such third-party sites at your own risk.

  1. The Terms are governed by the laws of England and Wales.

  1. We will send you a notice to the last email address you provided to us. You may give notice to us at support@natvps.uk

  1. We are not responsible for any delays or failures in performance from any cause beyond our control, including, but not limited to Force Majeure events.

  1. We may, at our sole discretion, make any changes to the website or Services that we deem necessary or useful to maintain or enhance the quality or delivery of the same.

  1. The Terms constitute the entire agreement between you and us as to the subject matter stated herein.

  1. If any provision of the Terms is found to be invalid or unenforceable for any reason, the remaining provisions will continue to be valid and enforceable.

  1. Your use of the website or Services shall not make you our employee or agent or partner or joint venturer.

  1. Delay in exercising or non-exercise of any such right or remedy does not constitute a waiver of that right or remedy, or any other right or remedy.

  1. The Terms bind and benefit the parties and their respective permitted successors and assigns.

  1. All provisions of the Terms which by their nature should survive shall survive the termination.

  1. We reserve the right to assign this Terms at any time to anyone. You shall not without our prior written consent assign all or any of your rights or obligations under this Terms to anyone.

  1. Changes to the Terms  

  1. We reserve the right to modify the Terms as per our discretion at any time. Please regularly check the website to view the latest updated version. If there are any material changes, we will promptly notify you by email.
